1. About Us

This website, (the “Website”), is operated by ZaGenie LTD, a company registered in the United Kingdom.

ZaGenie LTD Fergusson House 128 City Road London EC1V 2NX United Kingdom

Website: https://zagenie.com/ Support: https://zagenie.com/support/

Throughout these Terms, “ZaGenie”, “we”, “us” and “our” refer to ZaGenie LTD.

“You”, “your”, “User”, “Member”, “Customer”, “Affiliate” or “Partner” refers to the individual or organisation accessing or using the Website, as applicable.

If you use the Website on behalf of an organisation, you confirm that you have the authority to act on its behalf and, where applicable, enter into agreements for it.

2. Scope and Acceptance of These Terms

These Terms govern access to and use of the Website and its associated features, including:

  • Publicly accessible articles and educational content.
  • Registered user accounts and community profiles.
  • Free and paid memberships.
  • Community forums, groups and discussions.
  • Digital downloads, templates and other resources.
  • Courses, webinars, training programmes and events.
  • Online tools, software and interactive services.
  • Affiliate, referral and partner activities.
  • Other products and services offered by ZaGenie.

Certain products, programmes, subscriptions or services may be subject to additional terms or separate agreements.

Where specific terms apply to a particular product or service, they will supplement these Terms and take precedence in the event of a conflict concerning that product or service.

Our Privacy Policy explains how we process personal information, while our Disclaimer provides additional information about the limitations of published content and other resources.

3. Eligibility and Age Requirements

The Website is intended for individuals aged 13 or older.

You must be at least 18 years old, or have otherwise reached the legal age necessary to enter into a binding contract in your jurisdiction, to purchase products, subscribe to paid services or enter into other contractual arrangements without the required parental or guardian authorisation.

Users aged between 13 and 17 must have the permission of a parent or legal guardian where required by applicable law.

Certain features, community areas or services may have higher age requirements.

We may restrict access to particular features where necessary to comply with applicable legislation or to protect younger users.

If we discover that an account has been created in breach of applicable age requirements, we may suspend or close the account and take appropriate steps to handle the associated personal information.

4. User Accounts and Registration

Some features of the Website require you to register for an account.

When registering, you agree to provide accurate, current and complete information and to update it when necessary.

You are responsible for maintaining the confidentiality of your login credentials and for taking reasonable steps to protect your account.

You must not:

  • Share your account credentials with unauthorised individuals.
  • Impersonate another person or organisation.
  • Create accounts using false or misleading identities.
  • Attempt to access another user’s account without authorisation.
  • Circumvent account restrictions or security measures.
  • Use automated systems to create accounts without permission.

If you believe your account has been compromised, please notify us promptly through our Support Centre.

We may temporarily restrict access where reasonably necessary to protect your account, other users or the Website.

You can manage available account settings through your member account.

5. Free Memberships and Community Participation

ZaGenie may offer free accounts, memberships, community participation and other complimentary resources.

Unless expressly stated otherwise, creating a free account does not create an obligation to purchase products or services.

Free features may be introduced, modified or discontinued, subject to applicable law and any commitments we have made to you.

Participation in community activities is voluntary.

We may establish additional guidelines for particular groups, forums, events or other community features.

Users are expected to familiarise themselves with and respect these guidelines.

We may take proportionate action against accounts that breach these Terms or applicable community rules.

6. Paid Memberships and Subscriptions

ZaGenie may offer paid memberships, subscriptions, courses, software, premium content and other commercial services.

Before completing a purchase, you will be provided with the applicable price, billing frequency, principal features and any material contractual conditions.

Where a subscription automatically renews, this will be disclosed before you subscribe.

6.1 Recurring Payments

By purchasing a recurring subscription, you authorise the applicable payment provider to collect the agreed subscription charges at the disclosed billing intervals until the subscription is cancelled or otherwise ends.

Subscription charges, applicable taxes and any other mandatory fees will be disclosed before purchase.

We will provide information about material changes to subscription pricing or billing arrangements in accordance with applicable law.

Where your consent is legally required for a change, we will obtain it.

6.2 Cancelling a Subscription

You may cancel a recurring subscription through the cancellation options available in your account or by contacting our Support Centre.

A cancellation request does not require you to submit a refund request or demonstrate that you have completed any course or programme.

Unless a different arrangement is expressly disclosed or applicable law requires otherwise, cancellation prevents further recurring charges and your paid access continues until the end of the period already paid for.

We will not intentionally make cancellation more difficult than reasonably necessary.

6.3 Failed Payments

If a recurring payment fails, we may notify you and provide an opportunity to update your payment details.

Where payment remains outstanding, we may suspend the relevant paid features or subscription, subject to applicable law and any notice requirements.

6.4 Subscription Changes

We may introduce, modify or discontinue subscription plans.

Where a change materially affects an existing paid subscription, we will provide appropriate notice and any cancellation, refund or other rights required by applicable law or the relevant agreement.

7. Payment Processing

ZaGenie uses Stripe and may use other appropriately disclosed payment providers to process transactions.

Payment information is processed according to the relevant provider’s terms and privacy practices.

We do not store complete payment card numbers or card security codes on our Website servers.

You agree to provide valid payment information when making a purchase and to ensure that you are authorised to use the selected payment method.

We may retain transaction information necessary to administer purchases, manage subscriptions, provide customer support and comply with accounting and legal obligations.

Any payment processing fees or additional charges payable by you will be disclosed where required by law.

8. Consumer Cancellation Rights and Refunds

We want customers to understand their cancellation and refund rights before making a purchase.

Your statutory rights depend on the nature of the product or service, your circumstances and the legislation that applies to your transaction.

8.1 Statutory Cancellation Rights

Where the law provides a cooling-off period for an online purchase, you may exercise that right within the applicable period.

For many distance contracts with UK consumers, this is generally 14 days, subject to the relevant legal conditions and exceptions.

For digital content supplied immediately, you may be asked to give express consent to immediate supply and acknowledge that doing so may cause you to lose the applicable statutory cancellation right once supply begins.

For services that begin during a statutory cancellation period, any payment due following cancellation will be determined in accordance with the applicable legal requirements.

Where a statutory cancellation right applies, we will provide the required information and will not impose additional conditions that unlawfully restrict that right.

8.2 Voluntary 30-Day Money-Back Guarantee

Where expressly offered for an eligible ZaGenie product, course or membership, we provide an additional 30-day money-back guarantee under the conditions disclosed with that offer.

For recurring memberships, the guarantee applies to the eligible current subscription payment and does not automatically extend to earlier billing periods.

Where the advertised voluntary guarantee is conditional on participating in a course or completing specified activities, we may request reasonable evidence that those conditions have been satisfied, provided they were clearly disclosed before purchase.

To request a refund under the voluntary guarantee, contact our Support Centre within the applicable guarantee period.

Please include sufficient information to identify your purchase.

This additional guarantee is separate from your statutory rights. No participation requirement, evidence requirement or other condition of a voluntary guarantee restricts any refund or remedy to which you are entitled by law.

8.3 Approved Refunds

Where a refund is due, we will process it within the period required by applicable law or the terms of the relevant guarantee.

Refunds will ordinarily be returned through the original payment method unless another arrangement is agreed and legally permitted.

Where a refund results in the termination of a paid licence or subscription, access to the associated paid materials may end, subject to your statutory rights and any applicable contractual provisions.

You must cease any use of material for which your licence has lawfully ended.

8.4 Statutory Consumer Protections

Nothing in these Terms excludes or restricts your rights under applicable consumer protection legislation, including your rights concerning defective digital content, services not provided with reasonable care and skill, misdescribed products or other contractual failures.

9. Intellectual Property

Unless otherwise stated, the Website and its original content, including text, graphics, designs, photographs, videos, audio, software, databases, trademarks, branding and other materials, are owned by ZaGenie LTD or used under appropriate licences.

These materials are protected by applicable copyright, trademark and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable and revocable licence to access and use the Website for lawful personal purposes and authorised internal business purposes, subject to these Terms.

This licence does not transfer ownership of any intellectual property to you.

Unless permitted by law, an applicable licence or our prior written authorisation, you must not:

  • Reproduce or redistribute substantial portions of our content.
  • Sell, sublicense or commercially exploit our materials.
  • Remove copyright notices, trademarks or attribution information.
  • Present our content as your own original work.
  • Use our branding in a misleading or unauthorised manner.
  • Circumvent technical measures protecting paid or restricted content.

You may share links to publicly accessible Website pages, provided you do not misrepresent their source or imply an endorsement that does not exist.

Any permissions expressly granted with a particular product or resource take precedence over the general restrictions in this section.

10. Digital Downloads, Templates and Free Resources

ZaGenie may provide free or paid templates, guides, documents, software, educational materials and other downloadable resources.

Unless a different licence is expressly provided, these resources are licensed for your own personal or internal business use.

You may modify templates and documents as reasonably necessary for their intended authorised purpose.

However, you may not resell, redistribute, sublicense, republish or make the original resources available to third parties as standalone products without appropriate permission.

Free resources remain subject to applicable intellectual property rights.

Providing an email address to access a free resource does not automatically constitute consent to receive unrelated marketing communications.

Any additional permissions or restrictions associated with a specific resource will be identified where applicable.

11. Courses, Training and Educational Programmes

Courses, webinars, workshops, training programmes and associated materials are provided for educational purposes unless expressly stated otherwise.

Purchasing or participating in a course grants you the access and usage rights described in the relevant offer.

Unless otherwise specified, course materials are licensed for your personal or authorised internal business use.

You must not unlawfully reproduce, resell, redistribute or make restricted course materials available to unauthorised third parties.

You remain free to apply the knowledge, skills, general ideas and techniques acquired through our programmes, provided you respect applicable intellectual property rights, confidentiality obligations and any separately agreed restrictions.

Participation in a course does not guarantee employment, professional qualifications, business success, income or any other particular outcome.

Any formal accreditation or certification will be expressly identified in the relevant course description.

12. Community Standards and Acceptable Behaviour

ZaGenie aims to maintain a constructive, inclusive and professional online environment.

Users must treat other members, contributors, moderators and staff with respect.

When participating in community forums, groups, discussions, comments, events or other interactive features, you agree not to:

  • Harass, threaten, intimidate, bully or abuse others.
  • Publish unlawful hate speech, discriminatory abuse or content that unlawfully incites violence.
  • Post defamatory, fraudulent or deliberately misleading material.
  • Infringe another person’s intellectual property, privacy or other legal rights.
  • Publish another person’s private information without an appropriate lawful basis.
  • Distribute malware, malicious links or other harmful software.
  • Engage in scams, phishing, impersonation or fraudulent financial activities.
  • Publish spam or unsolicited commercial promotions.
  • Harvest users’ contact details or personal information without authorisation.
  • Interfere with the normal operation of the Website or community.
  • Circumvent moderation decisions or security restrictions.
  • Publish content involving the sexual exploitation or abuse of children.
  • Promote, facilitate or participate in other unlawful activities.

Advertising, recruitment, affiliate promotions and other commercial activities are permitted only in areas or circumstances where ZaGenie expressly allows them.

Additional community-specific rules may apply.

13. User-Generated Content

You retain ownership of the original content you create and submit, including posts, comments, photographs, documents and other contributions, subject to any third-party rights.

By submitting content, you grant ZaGenie LTD a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format and distribute that content to the extent reasonably necessary to operate, administer and promote the relevant Website features and services.

This includes displaying your contributions within the community and making technical modifications necessary for compatibility, accessibility, security or presentation.

This licence does not automatically authorise unrelated commercial exploitation of your content.

You confirm that you own or have the necessary permissions to submit the material and grant the rights described above.

You must not upload material that violates applicable law or the rights of another person.

Where you delete content or close your account, the associated licence will end to the extent reasonably practicable, except where continued processing or retention is justified by applicable law, technical requirements, the rights of others or another lawful basis.

Public contributions may remain in limited circumstances where removal would compromise the integrity of existing discussions, subject to applicable data protection and other legal rights.

14. Moderation, Reporting and Complaints

We may review, restrict, remove or decline to publish content that breaches these Terms, applicable community rules or the law.

Depending on the circumstances, moderation measures may include:

  • Removing or restricting particular content.
  • Issuing warnings.
  • Limiting posting or messaging privileges.
  • Temporarily suspending an account.
  • Permanently terminating access in serious or repeated cases.
  • Referring potentially unlawful conduct to appropriate authorities where justified or legally required.

We will seek to apply moderation measures proportionately, taking account of the circumstances, the seriousness of the conduct and applicable legal obligations.

We may use a combination of automated tools and human review to help identify harmful, unlawful or otherwise prohibited content.

If you encounter content or behaviour that may be unlawful, harmful or contrary to these Terms, please report it through the available reporting features or our Support Centre.

You may also use our Support Centre to challenge a moderation decision or raise a complaint about our handling of reported content.

We will assess reports and complaints in accordance with applicable law and our relevant procedures.

Where legally required, we will provide additional information about moderation decisions and available complaint or appeal mechanisms.

15. Website Security and Prohibited Technical Activities

You must not attempt to compromise the security, availability or integrity of the Website or its supporting infrastructure.

Prohibited activities include:

  • Gaining unauthorised access to accounts, systems or databases.
  • Introducing viruses, malware or other malicious code.
  • Conducting denial-of-service attacks.
  • Exploiting security vulnerabilities without authorisation.
  • Attempting to bypass access controls or payment restrictions.
  • Using automated tools in a manner that disrupts services or violates applicable restrictions.
  • Extracting substantial amounts of data without authorisation.
  • Interfering with other users’ access to the Website.

We may investigate suspected security incidents and take reasonable protective action.

Nothing in this section restricts activities that cannot lawfully be prohibited, including activities expressly authorised by ZaGenie or protected under applicable law.

16. Artificial Intelligence and Automated Tools

ZaGenie may provide AI-powered tools, automated services or AI-assisted educational and technical content.

Such systems can produce inaccurate, incomplete, outdated or unsuitable information.

You are responsible for exercising appropriate judgement when using their outputs.

AI-generated responses are not a substitute for qualified professional advice where such advice is necessary.

You must not use our AI-powered services to generate unlawful content, infringe the rights of others, circumvent security measures or engage in prohibited activities.

Unless a specific service provides otherwise, you retain any rights you have in your original inputs, subject to applicable law and the rights of third parties.

The ownership and permitted use of AI-generated outputs may depend on the relevant service, underlying technology and applicable law.

Where third-party AI services are integrated into the Website, additional terms and privacy information may apply.

17. Affiliate Programmes and Partnerships

ZaGenie may operate affiliate, referral, ambassador or partner programmes.

Participation in these programmes may be subject to a separate agreement specifying eligibility, promotional requirements, commission arrangements, payment conditions and other obligations.

Affiliates and partners must comply with applicable advertising, consumer protection, privacy and marketing laws.

Where required, they must clearly disclose their commercial relationship with ZaGenie.

Participation in an affiliate or referral programme does not establish an employment relationship, legal partnership, joint venture or agency unless expressly agreed in writing.

No commission, financial return or commercial outcome is guaranteed unless specifically provided for in the applicable agreement.

18. Third-Party Websites, Products and Services

The Website may contain links to third-party websites, applications, platforms, products and services.

These links may be provided for informational, functional, promotional or affiliate purposes.

Unless expressly stated otherwise, a link does not imply that ZaGenie owns, controls, sponsors or endorses the third party.

Independent third-party services may be subject to their own terms, policies, contractual arrangements and legal obligations.

We are not responsible for third-party content or services outside our control, except where applicable law or our own contractual obligations provide otherwise.

You should review the relevant terms and policies before entering into a transaction or providing personal information to an external service.

19. Guest Contributors and Interviews

ZaGenie may publish interviews, podcasts, guest articles, webinars and other material featuring independent contributors.

The opinions expressed by guests and contributors are their own unless expressly stated otherwise.

Participation in an interview or publication does not automatically establish employment, an agency relationship or an endorsement by ZaGenie.

Intellectual property rights relating to guest contributions will be governed by applicable law and any specific agreement with the contributor.

Where material is commissioned, recorded or published under a separate contributor agreement, that agreement will determine the applicable permissions, licences and ownership arrangements.

Participation in an interview does not, by itself, transfer all intellectual property rights to ZaGenie LTD.

20. Educational Content and Professional Advice

Our Website may provide information about business, entrepreneurship, technology, software, marketing, productivity, career development and other subjects.

Unless expressly provided under a separate professional engagement, this information is intended for general educational and informational purposes.

It should not be interpreted as personalised legal, financial, tax, medical, investment or other regulated professional advice.

We aim to provide useful and accurate information, but results and individual circumstances vary.

You should undertake appropriate due diligence and seek qualified professional advice where necessary.

Further information is available in our Disclaimer.

21. Website Availability and Service Changes

We aim to maintain a reliable and accessible Website, but uninterrupted availability cannot be guaranteed.

Maintenance, security incidents, technical faults, infrastructure failures and other circumstances may occasionally affect access.

We may make reasonable changes to the Website and its features to improve functionality, maintain security, comply with legal obligations or respond to operational requirements.

Where a change materially affects a paid service, we will comply with the relevant contractual commitments and applicable legal requirements.

Any specific availability guarantees or service-level commitments will be set out in the relevant service agreement.

22. Privacy and Electronic Communications

Our handling of personal information is explained in our Privacy Policy.

We process personal information in accordance with the applicable data protection requirements.

Where necessary to administer your account, purchases or services, we may communicate with you electronically.

These communications may include transaction confirmations, payment notifications, security alerts, service updates and other essential information.

Marketing communications are subject to your preferences and applicable privacy and electronic communications legislation.

You may unsubscribe from optional marketing communications using the available unsubscribe mechanism or by contacting us.

Nothing in these Terms requires you to consent to unnecessary personal data processing as a condition of receiving a service.

23. Suspension and Termination

You may stop using the Website at any time and request account closure through the available account controls or our Support Centre.

We may suspend, restrict or terminate access where reasonably necessary, including where:

  • You materially or repeatedly breach these Terms.
  • Your conduct threatens the safety or security of others.
  • Your account is involved in fraudulent or unlawful activity.
  • You seriously or repeatedly violate community standards.
  • Required subscription payments remain outstanding.
  • We are legally required to restrict access.
  • Continuing to provide the relevant service is no longer reasonably possible.

Where appropriate, we will provide notice and an opportunity to address the issue.

Immediate action may be taken where necessary to prevent harm, protect security or comply with the law.

Where we terminate a paid service for reasons unrelated to your breach, we will provide any refund or other remedy required by the relevant agreement or applicable law.

Termination does not affect rights and obligations that have already accrued or provisions that are intended to remain effective after termination.

24. Warranties and Limitation of Liability

We aim to provide our Website and services with reasonable care and skill and to fulfil our contractual and legal obligations.

General informational content is provided without a guarantee that it will be suitable for every individual’s circumstances.

We are not responsible for losses caused by your unlawful use of the Website, your breach of these Terms or circumstances for which we are not legally responsible.

Where legally permitted, we do not accept liability for losses that were not reasonably foreseeable when the relevant contract was entered into.

Any additional limitations applicable to a specific commercial or business-to-business service will be set out in the relevant agreement and will be subject to applicable law.

Nothing in these Terms excludes or restricts liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Breach of statutory obligations where liability cannot lawfully be excluded or restricted.
  • Any other liability that cannot lawfully be excluded or restricted.

Nothing in these Terms limits your mandatory consumer rights or your entitlement to remedies provided by applicable law.

25. Indemnification

Where you use the Website in the course of business, you agree, to the extent permitted by law, to indemnify ZaGenie LTD against reasonable losses, liabilities and costs arising directly from your unlawful conduct, your infringement of third-party intellectual property rights or your material breach of these Terms, to the extent that you are legally responsible for those losses.

This provision does not apply to the extent that the loss was caused by ZaGenie’s own breach, negligence or unlawful conduct.

It does not impose additional liability on consumers where doing so would be contrary to applicable consumer protection law.

26. No Employment, Partnership or Agency Relationship

Your use of the Website, registration as a member or participation in community activities does not, by itself, create an employment relationship, partnership, joint venture, agency relationship or fiduciary relationship with ZaGenie LTD.

Any formal commercial partnership, consultancy, employment, affiliate or other business relationship must be established through a separate agreement where appropriate.

27. Changes to These Terms

We may update these Terms to reflect changes in our services, business operations, technology, security requirements or applicable law.

The date displayed at the beginning of this page indicates when these Terms were last updated.

The current version will be available on the Website.

Where changes materially affect your existing contractual rights or obligations, we will provide appropriate notice and obtain consent or provide cancellation rights where required by law.

Changes will not retrospectively remove rights that have already accrued.

We encourage you to review these Terms periodically.

28. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, subject to any mandatory legal protections that apply to you as a consumer in your country of residence.

We encourage users to contact our Support Centre before initiating formal proceedings so that we have an opportunity to resolve any dispute.

Where a dispute cannot be resolved informally, the courts of England and Wales will have jurisdiction, subject to any mandatory rights you may have to bring proceedings in another competent court.

If you are a consumer, nothing in this section deprives you of the mandatory legal protections or access to courts available under applicable law.

Any alternative dispute resolution process will be used where required by law or agreed by the relevant parties.

These Terms do not require consumers to waive statutory claims or submit to compulsory arbitration.

29. Severability and Waiver

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

The failure or delay of either party to exercise a right does not automatically constitute a waiver of that right.

Any waiver must be consistent with applicable law.

30. Entire Agreement

These Terms, together with any applicable product-specific conditions, membership agreements or other expressly agreed contractual documents, constitute the agreement between you and ZaGenie LTD concerning the relevant Website services.

They supersede previous versions of the general Website Terms, without retrospectively removing rights or obligations that have already accrued.

The Privacy Policy and Disclaimer provide additional information about data processing and the use of published content.

Nothing in this section excludes liability for fraudulent misrepresentation or removes any rights that cannot lawfully be excluded.

The English-language version of these Terms is the reference version, subject to any mandatory language requirements under applicable law.
